Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and AlanHR ("Company", "we", "us", or "our") concerning your access to and use of the AlanHR platform and services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.

Account Registration

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You are solely responsible for any activity on your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Subscription and Billing

Subscription Plans

We offer various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay the subscription fees as described on our pricing page.

Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. You agree to provide current, complete, and accurate payment information. By providing payment information, you authorize us to charge the applicable fees to your payment method.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial subscription periods.

Fee Changes

We reserve the right to modify our subscription fees. We will provide you with reasonable advance notice of any fee changes. Your continued use of the Services after the fee change takes effect constitutes your acceptance of the new fees.

Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload or transmit viruses, malware, or other harmful code
  • Engage in unauthorized access, hacking, or security breaches
  • Harass, abuse, or harm other users
  • Collect or harvest user information without consent
  • Interfere with or disrupt the Services or servers
  • Create fake accounts or impersonate others
  • Resell or redistribute the Services without authorization
  • Use automated systems to access the Services (unless authorized)

Your Content

You retain all rights to the content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process Your Content solely for the purpose of providing the Services to you.

You represent and warrant that:

  • You own or have the necessary rights to Your Content
  • Your Content does not violate any third-party rights
  • Your Content complies with these Terms and applicable laws

Intellectual Property

The Services, including all content, features, functionality, software, and design, are owned by AlanHR and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission. Unauthorized use may violate copyright, trademark, and other laws.

Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy. We are committed to protecting your personal information in accordance with applicable data protection laws, including GDPR and UK GDPR where applicable.

Service Availability

We strive to provide reliable and continuous access to the Services. However, we do not guarantee that the Services will be available at all times or free from errors, bugs, or interruptions. We may modify, suspend, or discontinue any part of the Services at any time with or without notice.

We reserve the right to perform scheduled maintenance that may temporarily affect service availability.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, be uninterrupted, secure, or error-free. You use the Services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALANHR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless AlanHR and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

Termination

We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we determine to be inappropriate or harmful.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where AlanHR is established, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AlanHR regarding the Services and supersede all prior agreements and understandings.
